1. Introduction & Acceptance

PSRESTful is operated by Gallardo Solutions Corp ("PSRESTful," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the PSRESTful website at psrestful.com, our REST API, dashboard, and all related tools and services (collectively, the "Service").

By accessing or using any part of the Service, you ("you," "your," or "Customer") agree to be bound by these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have the authority to bind that organization and that "you" refers to both you individually and the organization.

If you do not agree to these Terms, do not use the Service. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and may notify you by email or through the Service. Your continued use after changes are posted constitutes acceptance of the updated Terms.

2. Description of the Service

PSRESTful is a SaaS platform that provides a REST/JSON API proxy for PromoStandards-compliant promotional products suppliers. The Service allows distributors to connect to their suppliers without implementing SOAP/XML directly.

The Service includes, but is not limited to, the following tools and features:

  • REST API — JSON-based access to PromoStandards supplier data (product, inventory, pricing, media, order status, etc.)
  • Data Explorer — interactive dashboard for browsing supplier catalogs
  • CSV Generator — export product data for e-commerce platforms
  • Pricing Calculator — real-time pricing and configuration
  • Media Processing — vectorization, decoration previews, and background removal
  • PromoSync — Shopify integration for automated product syncing
  • Product Search — semantic search across supplier catalogs
  • Reports & Analytics — API usage, data validation, and inventory analysis

3. Accounts & Registration

3.1 Account Creation

To access most features of the Service, you must create an account. Authentication is handled through Auth0. You may sign up using email and password or through supported social login providers.

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@psrestful.com if you suspect unauthorized use of your account.

3.3 Account Types

Accounts may be designated as distributor or supplier accounts, each with different capabilities. Multi-user accounts are supported; the account owner is responsible for the actions of all users granted access under their account.

4. Subscription Plans & Billing

4.1 Plans

The Service is offered under multiple subscription tiers (e.g., Free, Standard, Premium, Enterprise), each with different feature sets and API call limits. Current plan details and pricing are available on our pricing page.

4.2 Payment

Paid subscriptions are billed in advance on a monthly or annual basis. All payments are processed by Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. All fees are stated in United States dollars.

4.3 Cancellation & Refunds

You may cancel your subscription at any time from your account dashboard. Upon cancellation, your paid features remain active through the end of the current billing period. We do not provide pro-rated refunds for partial billing periods unless required by applicable law.

4.4 Price Changes

We may change our pricing from time to time. If we increase prices for your current plan, we will give you at least 30 days' notice before the change takes effect. Your continued use after the price change constitutes acceptance of the new pricing.

4.5 Taxes & Late Payment

All fees are exclusive of applicable taxes. You are responsible for all taxes associated with your use of the Service (excluding taxes based on our net income). Overdue balances may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. API Access & Usage

5.1 API Keys

Access to the API requires authentication via API keys (private) and/or public keys. You are responsible for keeping your API keys secure. Do not share private API keys in client-side code, public repositories, or with unauthorized parties.

5.2 Rate Limits

Each subscription plan includes a daily API call limit. Exceeding your plan's limit may result in throttled or rejected requests until the next billing period or until you upgrade your plan. Current rate limits are documented on our pricing page and in our API documentation.

5.3 Caching

The Service may cache supplier responses to improve performance and reduce load on upstream PromoStandards endpoints. Cached data may not always reflect real-time supplier inventory or pricing. We make no guarantee as to the freshness of cached data.

5.4 Restrictions on API Use

You may not: (a) resell, sublicense, or redistribute API access to third parties; (b) use the API to build a product or service that competes with PSRESTful; (c) circumvent or attempt to circumvent rate limits or other technical restrictions; or (d) use the API in any manner that could damage, disable, or impair the Service.

6. Acceptable Use Policy

You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Service
  • Attempt to gain unauthorized access to any systems, networks, or data
  • Upload or transmit malicious code, viruses, or harmful content
  • Interfere with or disrupt the integrity or performance of the Service
  • Scrape, crawl, or harvest data from the Service beyond what is available through your authorized API access
  • Use the Service for any purpose that is unlawful or prohibited by these Terms
  • Impersonate any person or entity, or misrepresent your affiliation

We reserve the right to suspend or terminate your access if we reasonably believe you are violating this Acceptable Use Policy.

7. Intellectual Property

7.1 Our Property

The Service, including its source code, user interface, documentation, APIs, branding, and all related content, is owned by Gallardo Solutions Corp and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

7.2 Your Content

You retain ownership of all content you upload or submit to the Service, including artwork, logos, product data, and design files ("User Content").

7.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without obligation to you.

7.4 DMCA & Copyright Complaints

We respect intellectual property rights. If you believe that content on the Service infringes your copyright, please send a notice complying with the Digital Millennium Copyright Act (DMCA) to legal@psrestful.com including: (a) identification of the copyrighted work; (b) identification of the infringing material; (c) your contact information; (d) a statement of good faith belief; and (e) a statement of accuracy under penalty of perjury.

8. User Content

"User Content" means any artwork, logos, data, files, design specifications, or other material you upload to or process through the Service (including media processing tools such as vectorization, decoration preview, and background removal).

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, process, and display your User Content solely to the extent necessary to provide the Service to you. This license terminates when you delete the User Content or close your account (subject to reasonable backup and retention periods).

You represent and warrant that you own or have the necessary rights to all User Content you submit, and that your User Content does not infringe the intellectual property or other rights of any third party. You agree to indemnify us against any claims arising from your User Content as described in Section 14.

9. Third-Party Services & Data

9.1 Supplier Data

Product data, pricing, inventory, and media content retrieved through the API originate from PromoStandards-compliant suppliers. This data is owned by the respective suppliers. We act as an intermediary and make no representations or warranties regarding the accuracy, completeness, or timeliness of supplier data.

9.2 Third-Party Integrations

The Service integrates with third-party services including Auth0 (authentication), Stripe (payments), Shopify (e-commerce sync), Amazon Web Services (hosting and storage), and SendGrid (email). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

10. Shopify Integration (PromoSync)

If you use PromoSync to connect your Shopify store, the following additional terms apply:

  • You authorize PSRESTful to read and write product, inventory, and collection data in your Shopify store as needed for syncing
  • You remain responsible for compliance with Shopify's terms of service and applicable e-commerce regulations
  • PSRESTful is not responsible for issues caused by the Shopify platform, including downtime, API changes, or data loss on Shopify's side
  • Synced data may be subject to caching delays; real-time accuracy is not guaranteed

11. Confidentiality

Each party ("Receiving Party") agrees to keep the other party's ("Disclosing Party") confidential information strictly confidential and to use it only for purposes of exercising rights or fulfilling obligations under these Terms. Confidential information includes any non-public business, technical, or financial information disclosed by either party.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was known to the Receiving Party before disclosure; (c) is independently developed without use of the Disclosing Party's information; or (d) is required to be disclosed by law or court order, provided the Receiving Party gives reasonable prior notice to the Disclosing Party where permitted.

12. Disclaimers & Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • Supplier data accessed through the Service will be accurate, complete, or current
  • The Service will meet your specific business requirements or produce particular business results
  • Any defects in the Service will be corrected

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above disclaimers apply to the fullest extent permitted by applicable law.

13. Limitation of Liability

13.1 Exclusion of Damages

To the maximum extent permitted by law, in no event will PSRESTful, its officers, directors, employees, or agents be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill, however caused and under any theory of liability, whether or not we have been advised of the possibility of such damages.

13.2 Aggregate Liability Cap

Our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees you paid to us during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred dollars ($100).

The foregoing limitations apply to the fullest extent permitted by applicable law. If any portion of this section is held to be invalid, the invalidity will not affect the remaining portions.

14. Indemnification

14.1 Your Indemnification

You agree to defend, indemnify, and hold harmless PSRESTful and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from: (a) your misuse of the Service; (b) your User Content; (c) your breach of these Terms; or (d) your violation of any applicable law or regulation.

14.2 Our Indemnification

PSRESTful shall defend, indemnify, and hold harmless you from and against any third-party claim alleging that the Service itself (excluding User Content and third-party supplier data) infringes the intellectual property rights of a third party.

15. Term & Termination

15.1 Term

These Terms are effective from the date you first access or use the Service and continue until terminated by either party.

15.2 Termination by You

You may terminate your account at any time by contacting us at support@psrestful.com or through your account dashboard.

15.3 Termination or Suspension by Us

We may suspend or terminate your access to the Service immediately if: (a) you breach these Terms; (b) you fail to pay fees when due; (c) we are required to do so by law; or (d) we reasonably believe your use poses a security risk to the Service or other users.

15.4 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You will have 30 days following termination to export your data. After that period, we may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination will survive, including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

16.2 Binding Arbitration

Any dispute arising out of or relating to these Terms or the Service ("Dispute") shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its then-current Commercial Arbitration Rules. The arbitration shall take place in Miami-Dade County, Florida, before a single arbitrator. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

16.3 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters relating to intellectual property or unauthorized access. Claims eligible for small claims court may be brought there instead of arbitration.

16.4 Class Action Waiver

Both parties agree that all claims must be brought in the party's individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

17. General Provisions

17.1 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

17.2 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

17.3 Force Majeure

Neither party will be liable for failure or delay in performance due to causes beyond its reasonable control, including natural disasters, pandemics, war, terrorism, riots, embargoes, government action, labor disputes, power failures, Internet or telecommunications disruptions, or cyberattacks.

17.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PSRESTful regarding the Service and supersede all prior agreements and understandings. No waiver of any provision will be deemed a further or continuing waiver.

17.5 Notices

All notices under these Terms shall be in writing. We may send notices to the email address associated with your account. You may send notices to us at the contact information provided in Section 18.

17.6 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and PSRESTful. Neither party has authority to bind the other.
